Numbered vs Named Company in Alberta: Cost, Speed and When Each Makes Sense

By Alberta Corporate Services · Updated

A numbered company in Alberta is an ordinary Alberta corporation whose legal name is a number assigned by Corporate Registry, such as 1234567 Alberta Ltd., instead of a name you choose. It costs less to set up because it needs no Alberta NUANS report, it can be filed the same day, and it can still trade under a brand by registering a trade name.

Quick facts

  • Cost: both are filed as an Alberta corporation for $498 + GST, government fee included. A named company adds an Alberta NUANS report at $68 + GST.
  • Time: a numbered company is filed the same business day for orders received before 3:00 pm MT. A named company is filed the same way once the NUANS report is in hand, usually within the hour.
  • Who can file: anyone incorporating an Alberta corporation, through a licensed registry agent.
  • What you need: at least one adult director, a registered office in Alberta, an agent for service located in Alberta, and valid ID. For a named company, add the NUANS report, less than 91 days old.

Nobody is embarrassed to ask this question, and nobody should be. The two options are the same corporation underneath. The difference is what appears on the Certificate of Incorporation, and what that costs you in money, time and paperwork.

What is a numbered company in Alberta?

Every Alberta corporate name has three parts: a distinctive element, a descriptive element and a legal element. The legal element is one of Ltd., Limited, Inc., Incorporated, Corp. or Corporation.

In a numbered company, the number does the job of the distinctive element and the word Alberta does the job of the descriptive element. Corporate Registry assigns the number when the corporation is registered. You still choose the legal element, so 1234567 Alberta Ltd. and 1234567 Alberta Inc. are both possible forms.

Everything else is identical to a named corporation: the Articles of Incorporation, the Notice of Address, the Notice of Directors, the Notice of Agent for Service, the $275 government fee and the annual return every anniversary month.

What is a named company?

A named company is the same corporation with a name you choose, such as Bow Valley Plumbing Ltd. The name must still have a distinctive element (Bow Valley), a descriptive element (Plumbing) and a legal element (Ltd.).

Because the name is yours, Corporate Registry needs to know it is not identical to an existing one. That is what an Alberta NUANS report is for: a name search that reserves your name for 90 days and must be less than 91 days old when the incorporation is filed. Our guide on whether you need a NUANS report in Alberta explains what the report shows and how to read it.

How to choose in four steps

  1. Ask who will see the legal name. If customers, tenants or the public will read it on a sign, a website or a storefront, a named company saves you a second registration. If only your accountant, your bank and the registry will see it, a number is fine.
  2. Decide whether the brand is settled. A name you are still testing does not belong on the Certificate of Incorporation. Incorporate numbered today and add the name when you are sure.
  3. Check whether your name would pass. A NUANS report shows the names already in use. If the report shows a close match, a numbered company lets you incorporate now and sort the name out later.
  4. Weigh the cost of changing later. Moving from a number to a name later means Articles of Amendment and a new NUANS report, at $230 + GST. That is more than the NUANS report would have cost up front, so if the name is settled and clear, pick it now.

When a numbered company makes sense

  • Holding companies. A holding company exists to own shares, property or investments rather than to trade with customers. Nobody needs to remember its name, so numbered names are common.
  • Speed. There is no report to order and no name to argue about. The package can be filed the same business day.
  • The name is undecided. You want the corporation in place for a contract, a lease or a bank account before the brand is final.
  • You want the brand separate from the entity. The corporation stays a number on the public record; the brand lives on a trade name that you can change or add to later.
  • Your accountant asked for it. Many CPAs set up structures with a numbered operating company or holding company. We implement their plan as they describe it.

When a named company makes sense

  • The name is your business. A restaurant, a clinic, a trades company or a consultancy that markets under one name is simpler with that name on everything.
  • You want one name on contracts, invoices and the bank account. No "operating as" line, no second certificate to carry around.
  • Professional corporations. A professional corporation must carry the words "Professional Corporation" in its name, so it is a named corporation by definition, and the regulator's naming rules apply as well.
  • You have already checked the name. If the NUANS report is clean and the name is distinctive, there is no reason to wait.

How a numbered company operates under a brand

Alberta requires a trade name registration whenever a corporation does business under a name other than its legal name. So 1234567 Alberta Ltd. trading as Bow Valley Plumbing registers "Bow Valley Plumbing" as a trade name of the corporation.

A few things to know about that registration:

  • It is filed through a registry agent with valid ID, and it costs $86 + GST.
  • A NUANS report is optional for a trade name, but recommended, because registration does not protect the name. A search reduces the risk of a conflict with someone already using it.
  • Alberta trade names have no periodic renewal. Changes and cancellations are filed through a registry agent.
  • In practice, contracts and bank paperwork carry the legal name, with the trade name shown as "operating as". Invoices, signs and the website can carry the brand alone.

How to change a numbered company to a named company later

  1. Order a new Alberta NUANS report for the name you want. It must be less than 91 days old when the amendment is filed.
  2. Pass a special resolution of the shareholders approving the name change.
  3. File Articles of Amendment with Corporate Registry through a registry agent. The registry records the new name and issues an amended certificate.
  4. Update everyone else. The bank, CRA, your contracts, your invoices and your signage. The corporation is the same one it always was; only the name has changed.

We prepare and file the amendment for $230 + GST, with the NUANS report included.

Common mistakes

  • A name with no distinctive element. "Plumbing Ltd." cannot be registered. Add a word that sets you apart, then the descriptive word, then the legal element.
  • Letting the NUANS report expire. It reserves the name for 90 days. Order it when you are ready to file, not months ahead.
  • Trading under a brand with no trade name on file. A numbered company using a business name must register that name as a trade name.
  • Assuming a numbered company is less real. It is the same corporation, with the same protection, obligations and annual return.
  • Forgetting the annual return for a numbered holding company. Numbered companies are the ones owners lose track of. Each one has its own anniversary month.
  • Changing the name without telling the bank and CRA. The registry filing does not update anyone else. Your incorporation guide, how to incorporate a business in Alberta, lists who needs to know after any change.

Frequently asked questions

Is a numbered company cheaper than a named company?

Yes, by the cost of the name search. Both pay the same $498 + GST with us, government fee included, and a named company adds an Alberta NUANS report at $68 + GST. If you later register a trade name for the numbered company, that closes most of the gap.

Can a numbered company use a business name?

Yes. Register a trade name for the corporation, which Alberta requires whenever a corporation does business under a name other than its legal name. The trade name costs $86 + GST, has no periodic renewal in Alberta, and does not give you exclusive rights to the name.

Can I change a numbered company to a named company later?

Yes, by filing Articles of Amendment together with a new Alberta NUANS report that is less than 91 days old. The corporation itself carries on; only its name changes. We prepare and file the amendment for $230 + GST, NUANS included.

Do banks treat numbered companies differently?

In our experience, no. A bank opens the account the same way, from your Certificate of Incorporation, articles and organizational resolutions. If you trade under a business name, bring the trade name certificate as well so the account can show that name.
