Corporations – Filings and Changes

Alberta corporation changes are either filed with Corporate Registry, recorded in your minute book, or both, and this page tells you which. Eleven filings, each with an upfront price, reviewed by a trained person and filed the same business day for complete orders received before 3:00 pm MT.

Alberta Corporation Changes Made Simple With ACS

ACS is a private company. Our CORES-trained agents prepare your filing and submit it through a licensed Alberta registry agent. We are not a government office or a registry agent. Everything an Alberta corporation files after incorporation lives here: the annual return, notices when directors or addresses change, Articles of Amendment when the articles change, continuance into Alberta, voluntary dissolution and revival.

Not every change is a registry filing. Corporate Registry sees your shareholders through the annual return, which lists the top five voting shareholders, and officers and share transfers are otherwise tracked in your own registers and resolutions. We prepare that minute-book work too, with no government fee, so the record you hand your accountant matches the record on file.

Not sure which one?

  • If the name is changing, you need Articles of Amendment with a NUANS report for a named name.
  • If a director or an address changed, you need a notice of change.
  • If shareholders or officers changed, update the registers and resolutions, then report shareholders on the annual return.
  • If you are closing the corporation, file a dissolution.
  • If the corporation was struck, file a revival.
  • If you are moving a corporation into Alberta, file a continuance.

FAQs

Which filing do I need to change my corporation's name?

Articles of Amendment, filed with Corporate Registry; Alberta has no separate notice of articles. A new named name also needs an Alberta NUANS report that is less than 91 days old when the amendment is filed, while a change to a numbered name needs no report. Our corporation name change product includes both.

Do I have to tell Corporate Registry when a shareholder changes?

Not as a separate filing. A share issuance or transfer is recorded in the corporation's securities register, with the resolutions and share certificates in the minute book, and Corporate Registry sees it on your next annual return, which reports the top five voting shareholders by name, address and percentage.

Can I file several changes at once?

Yes. Tell us everything that changed in one order, such as a new director and a new registered office, and we prepare each notice, review the package once and file it together. Changes to the articles themselves, such as the name and the share structure, are made by Articles of Amendment.

Do these filings apply to professional corporations too?

Yes. A professional corporation files the same annual return, director and address notices as any Alberta corporation, and renews its regulator permit separately each year. Changes to its articles, such as a new name, go to the regulator before Corporate Registry sees them; the CDSA, for example, charges $300 for an amendment.
