Change of Partners – Add or Remove Partners in an Alberta Partnership
To change partners in an Alberta partnership, the registration on file with Corporate Registry has to show who is in and who is out. We prepare the change and file it through a licensed registry agent for $149 + GST, the same business day for complete orders received before 3:00 pm MT.
Product Info
ACS is a private company. Our CORES-trained agents prepare your filing and submit it through a licensed Alberta registry agent. We are not a government office or a registry agent. CORES is Alberta's Corporate Registry System, and business owners cannot file in it themselves.
A general partnership or limited partnership is registered under Alberta's Partnership Act, and the registration lists the partners. When someone joins, retires or dies, that list is out of date until a change of partners is filed. The registry filing is only the public record. The private side, who owns what share of the business and what a departing partner is owed, lives in your partnership agreement; have a lawyer update it.
What a partnership amendment in Alberta changes, and what it does not
The filed change updates who Corporate Registry shows as the partners. It does not divide profits, release the leaving partner from debts the partnership already owes, or move assets between partners. Those belong to your partnership agreement and your lawyer, and your accountant will want the date of the change for the year's filings.
Who this is for
- A partnership bringing in a new partner, such as a senior employee buying in.
- A partner retiring or leaving, who wants the public record to stop showing their name.
- A family partnership after a death, where the record needs to be corrected.
- A limited partnership adding or removing a limited partner.
How it works
- Tell us who is joining or leaving (about 10 minutes). Enter the partnership's registered name and the details of each partner coming in or going out.
- We review within about an hour. A trained agent matches the partners you list against the registration on file and checks the ID of the person signing.
- We prepare and file. We complete the change-of-partners form and submit it through [Partner registry agent name], our licensed registry agent partner. Complete orders received before 3:00 pm MT are filed the same business day.
- You receive the filed change as a PDF by email, and the registry record shows the current partners.
Common mistakes we catch before filing
- A new partner's home address missing, or a nickname used instead of a legal name.
- A departing partner removed from the registry but left on the bank account and the lease. We remind you to update both.
- A partnership reduced to one person and left registered as a partnership.
- A change filed without a departing partner's signature where the form needs it.
- Confusing the registry filing with the partnership agreement. We file the record; a lawyer updates the agreement.

Requirements in Alberta
- Partnerships, limited partnerships (LPs) and limited liability partnerships (LLPs) are registered under the Partnership Act through a registry agent with valid ID.
- There is no periodic renewal; partner changes are filed through a registry agent when they happen.
- The registration does not protect the business name and does not create a separate legal entity.
- The government fee is paid on your behalf and included in the price.
- CRA accounts (business number, GST, payroll) are updated with CRA, not Corporate Registry.

FAQs
What happens if only one partner is left?
A partnership needs at least two partners, so when one person is left the business is really a sole proprietorship. We can cancel the partnership registration and register the name as a trade name in the same order.
Does the registry change update our partnership agreement?
No. The registry filing changes the public record of who the partners are. Your partnership agreement is a private contract that sets out shares, profits and what a leaving partner is owed, so have a lawyer update it at the same time.
Do all partners have to sign?
The change form is signed by a partner with valid ID. We tell you exactly who needs to sign before you pay, and we do not file a change that removes a partner without the signatures the form requires.
