Product Info

ACS is a private company. Our CORES-trained agents prepare your filing and submit it through a licensed Alberta registry agent. We are not a government office or a registry agent. CORES is Alberta's Corporate Registry System, and business owners cannot file in it themselves.

Carrying on business in Alberta: when registration is required

A corporation formed outside Alberta must register in Alberta if it carries on business here. That includes soliciting business in Alberta, or having a resident agent, representative, warehouse, office or place of business in Alberta. Signing one Alberta customer from a Vancouver office may or may not cross the line; if you are unsure, ask your lawyer, and we register the corporation once the decision is made.

Registration does not create a new corporation. Your existing corporation is recorded with Alberta Corporate Registry, with an Alberta agent for service, so it can operate here in its own name.

Who this is for

  • A BC or Ontario company that has just signed its first Alberta client, opened a Calgary office or hired a representative here, and needs to register a corporation in Alberta from another province without a trip to a registry.
  • A federal (CBCA) corporation setting up in Alberta. Federal incorporation does not replace Alberta registration; a federal corporation must also register extra-provincially to operate here.
  • A corporation from outside Canada with a warehouse, representative or office in Alberta.
  • Law firms and accountants registering clients: exact form names, PDFs the same day and one account for every client.

How it works

  1. Order online (about 15 minutes). Enter your corporation's details, upload your charter documents and certificate of status, or ask us to order the certificate.
  2. We order and review the NUANS report (usually within the hour). If an existing Alberta name conflicts with yours, we call you before filing to discuss an assumed name.
  3. We prepare the package. A CORES-trained agent drafts the Statement of Registration (REG3055) and Notice of Agent for Service (REG3037), checks that your certificate of status is current and that your agent for service is an individual located in Alberta.
  4. We file through our licensed registry agent partner, [Partner registry agent name], within 1–2 business days of receiving a complete package, and email the filed documents and the registry's confirmation.

Common mistakes we catch before filing

  • A name that conflicts with an existing Alberta corporation, spotted on the NUANS report, which can mean registering under an assumed name.
  • A stale certificate of status, ordered months ago for a bank or a bid, that is no longer current on filing day.
  • No Alberta agent for service, or a company or out-of-province lawyer named instead of an individual located in Alberta.
  • Charter documents that are not certified, or that omit an amendment, so the name on the articles does not match the name on the certificate of status.
  • A NUANS report that will be more than 90 days old by the time the certificate of status arrives.

Checklist

What you need before you start

Send us:

  1. Your corporation's details. Full legal name, home jurisdiction, incorporation number and date, as they appear on your charter documents.
  2. Certified copies of your charter documents. Your certificate and articles of incorporation, plus any amendments, including name changes.
  3. Proof of current status. A certificate of status (also called a certificate of good standing) from your home registry, showing the corporation is active. It must be current when we file. If you do not have one, we can order it for BC, Ontario and federal corporations.
  4. Addresses. Your head office address, and your Alberta business address if you have one.
  5. An agent for service. An individual located in Alberta, with an Alberta address, who receives legal documents for the corporation. It does not need to be a lawyer; choose ours if you have nobody in Alberta.
  6. Valid ID for the person authorizing the registration.

We obtain: the Alberta NUANS report, and, if you ask, your certificate of status.

FAQs

Do I have to register my federal corporation in Alberta?

Yes. A federal (CBCA) corporation must also register extra-provincially in Alberta to operate here. The package is the same as for a corporation from another province: Statement of Registration, Notice of Agent for Service, certified charter documents, proof of current status from your home registry and an Alberta NUANS report.

What counts as carrying on business in Alberta?

A corporation formed outside Alberta must register here if it carries on business in Alberta, which includes soliciting business in Alberta or having a resident agent, representative, warehouse, office or place of business in the province. If you are unsure whether your activity counts, ask your lawyer; we register the corporation once the decision is made.

Do I need an Alberta NUANS report for extra-provincial registration?

Yes. The registration package includes an Alberta NUANS report less than 91 days old for your corporation's name, and we order and review it for you. If an existing Alberta name conflicts with yours, the corporation may need to register under an assumed name for use in Alberta.

Who can be the agent for service for an out-of-province corporation?

An individual located in Alberta, with an Alberta address, who receives legal documents and notices for the corporation. The agent does not need to be a lawyer. If nobody on your team lives in Alberta, we can act as your agent for service.

Does an extra-provincial corporation file an Alberta annual return?

Extra-provincial corporations registered in Alberta also file an Alberta annual return each year. We can file it for you and send a reminder before it is due; your home-jurisdiction filings continue as before.

How long does extra-provincial registration take?

We file within 1–2 business days of receiving a complete package: certified charter documents, a current certificate of status, and the details for the Statement of Registration and Notice of Agent for Service. The Alberta NUANS report usually arrives within the hour. If you ask us to order your certificate of status from BC, Ontario or Corporations Canada, add that registry's processing time.
