Changes to a Registration – Amend Your Alberta Declaration

When you need to amend a partnership declaration in Alberta, or the declaration for a trade name, limited partnership (LP) or limited liability partnership (LLP), we prepare the amendment, tell you who has to sign, and file it through a licensed registry agent for $149 + GST.

Product Info

ACS is a private company. Our CORES-trained agents prepare your filing and submit it through a licensed Alberta registry agent. We are not a government office or a registry agent. CORES is Alberta's Corporate Registry System, and business owners cannot file in it themselves.

Every trade name, partnership, LP and LLP in Alberta is registered under the Partnership Act by filing a declaration. An amendment changes what that declaration says. Use it when the change is more than a routine address or description update: correcting an error in the original filing, changing an LP's or LLP's declared details, or making several changes at once.

Update or amendment: which filing corrects a business registration in Alberta

  • Update. A new address, a new business description or an owner's updated contact details. That is the quicker business information update.
  • Amendment. A correction to the declaration as filed, such as a misspelled name or the wrong owner; a change to an LP's or LLP's declared details, such as its general partner or the nature of its business; or several changes filed together.

Not sure which you need? Order either one. We review every order and move it to the right filing, at that filing's price, before anything is submitted.

Who this is for

  • An LP or LLP whose declared details have changed since registration.
  • A trade name or partnership with an error in the original declaration: a misspelled name, the wrong address, the wrong owner.
  • A business making several changes at once that would otherwise need separate filings.

How it works

  1. Order online (about 10 minutes). Tell us what the declaration says now and what it should say.
  2. We review within about an hour. A trained agent compares your changes with the record on file and tells you which owners or partners must sign.
  3. We prepare the amendment and send it for signature.
  4. We file it through our licensed registry agent partner, [Partner registry agent name], within 1–2 business days of receiving the signed declaration.
  5. You receive the filed amendment as a PDF by email.

Common mistakes we catch before filing

  • An amendment ordered for what is really a new registration: a completely different business name.
  • An LP amendment signed by a limited partner when the general partner's signature is required.
  • A correction that does not match the ID of the owner or partner on file.
  • A half-done amendment: the address corrected but not the business description that changed with it.
  • Treating the amendment as a change to the partnership agreement. We file the record; have a lawyer update the agreement.

Checklist

What you need before you start

  1. The registered name, and the registration number if you have it.
  2. The declaration as filed, if you have a copy; if not, tell us and we work from the registry record.
  3. Exactly what changes, field by field: what it says now and what it should say.
  4. Valid ID for the owner or partner signing.
  5. Signatures from the owners or partners the form requires.

Requirements in Alberta

  • Trade names, partnerships, LPs and LLPs are registered under the Partnership Act and filed through a registry agent with valid ID.
  • There is no periodic renewal; amendments and cancellations are filed through a registry agent when they happen.
  • The registration does not protect the business name and does not create a separate legal entity.
  • A NUANS or Business Name Report is optional for trade names and partnerships, recommended but not mandatory.
  • The government fee is paid on your behalf and included in the price.

FAQs

What is the difference between an update and an amendment?

An update changes routine details such as the address or the business description. An amendment changes what the declaration itself says: it corrects an error in the original filing or changes an LP's or LLP's declared details. We review every order and move it to the right filing before anything is submitted.

Can an LP change its general partner?

Yes, by amending the limited partnership's declaration. The partnership agreement and your lenders' and landlord's records change separately, so have a lawyer update the agreement at the same time.

How long does an amendment take?

About an hour for our review, then 1–2 business days to file once the signed declaration is back with us. The filed amendment is emailed as a PDF the day it is filed.
