Limited Liability Partnership (LLP) – Register in Alberta

A limited liability partnership in Alberta is a partnership registered under the Partnership Act that limits a partner's personal liability for the negligence of the other partners, and it is available to eligible professions only. We confirm eligibility and the name, prepare the Partnership Act filing, and submit it through a licensed registry agent the same business day for $98 + GST.

Product Info

ACS is a private company. Our CORES-trained agents prepare your filing and submit it through a licensed Alberta registry agent. We are not a government office or a registry agent.

Alberta's Partnership Act covers four registrations: the trade name, the partnership, the limited partnership (LP) and the limited liability partnership (LLP). All four are filed through a registry agent with valid ID. The LLP is the one built for professional firms: the partners keep the partnership structure their profession expects, and the registration adds a liability shield between partners. The price covers the government fee, consultation, preparation and filing of the registration.

LLP vs professional corporation: two different tools for a professional partnership in Alberta

An LLP is a partnership. Two or more partners carry on the practice together, and the LLP registration changes how liability is shared between them. A professional corporation is a corporation: a single licensed member incorporates, the regulator issues a permit, and the corporation carries on that member's practice. Only professions whose governing Act allows it may use "Professional Corporation" in a name, voting shares must be held by licensed members, and the order of steps differs by profession.

The two are not rivals; which one a firm uses, or whether it uses both, depends on the profession's rules, how the partners want to share liability and income, and the tax plan. That is a decision for your lawyer and CPA. We register the LLP, incorporate the professional corporations, or both.

Who this is for

  • Partners in an eligible professional firm who have been told by their regulator or lawyer to register as an LLP and want the filing done correctly the first time.
  • Firms converting from a general partnership that need the LLP registered and the name updated with clients and the regulator.
  • Law and accounting firms filing for clients, who want the partner details checked, the form names right, and the registered documents emailed as PDFs the day they are filed.

How it works

  1. Order online (about 10 minutes). Give us the proposed name, the profession, each partner's full legal name and address, the firm's business address in Alberta, and whether your regulator has already approved the LLP.
  2. We review within about an hour. A trained agent checks that the profession is eligible, that the name carries the LLP element, that every partner's details are complete, and whether regulator approval must come first. We call you if anything would be rejected.
  3. Optional name check. A NUANS or Business Name Report is recommended but not mandatory for partnership registrations and reduces the risk of a conflict; registration does not protect the name.
  4. We prepare and file. The Partnership Act registration form for a limited liability partnership goes through our licensed registry agent partner, [Partner registry agent name]. Complete orders received before 3:00 pm MT are filed the same business day.
  5. You receive the registered documents as PDFs by email, usually the same day.

Common mistakes we catch before filing

  • A profession that is not eligible for an LLP, or a regulator approval step skipped.
  • A name without the LLP element, or a name already in use that a NUANS report would have flagged.
  • A partner listed without a full legal name and address, or a partner who is not a licensed member of the profession.
  • Partners assuming the LLP registration shields them from their own negligence; it does not.

Checklist

What you need before you start

  1. The firm's proposed name, including the LLP element, and the NUANS or Business Name Report if you have one.
  2. The profession and your regulator's approval or confirmation, if your regulator requires it.
  3. Every partner's full legal name and residential address, and each partner's licence or membership number if the regulator asks for it.
  4. The firm's business address in Alberta.
  5. Valid ID for the partner signing the registration.

Requirements in Alberta

  • Statute: the Partnership Act; the LLP is one of its four registrations, filed through a registry agent with valid ID.
  • Eligibility: eligible professions only, with any approval or notification the governing body requires.
  • Name: must identify the firm as a limited liability partnership.
  • Name search: a NUANS or Business Name Report is recommended but not mandatory for partnership registrations; registration does not protect the name.
  • Government fee: paid on your behalf and included in the price.
  • After registration: trade names and partnerships in Alberta have no periodic renewal; partner changes, amendments and cancellations are filed through a registry agent on the Partnership Act forms. Business number, GST and the partners' tax filings are handled with CRA, not Corporate Registry.

FAQs

Which professions can form an LLP in Alberta?

An Alberta LLP is available only to eligible professions, as set out in the Partnership Act and the rules of each profession's governing body. Confirm with your regulator before you order; we check eligibility as part of our review and call you if your profession does not qualify.

How does an LLP differ from a general partnership?

Both are partnerships registered under the Partnership Act through a registry agent. The LLP registration limits a partner's personal liability for the negligence of the other partners, while each partner remains responsible for their own professional work.

Does an LLP need regulator approval?

Possibly. Whether your profession's governing body must approve, or be notified of, the LLP before it is registered is a rule set by that body. We confirm the sequence with you before filing so the registration is not rejected.

Should our firm be an LLP or professional corporations?

That is a decision for your lawyer and CPA. An LLP is a partnership of two or more partners registered under the Partnership Act, while a professional corporation is a corporation owned by a licensed member and permitted by that profession's college; the choice depends on your profession's rules, how partners share liability and income, and your tax plan. We file whichever structure they recommend.
